Article IV Officers


ARTICLE IV - OFFICERS
A. President
1. Shall be Chairman of the Board of Directors.
2. Shall preside at all meetings of the organization
3. Shall approve and sign all checks drawn by the Treasurer, above $3000.00
4. Shall appoint all chairpersons and committee members as prescribed by the Bylaws and Standing Rules and such others as may be needed.
5. Shall serve as a member “ex-officio” at meetings of all committees (budget, planning, by-laws, etc. as formed by the Board of directors) except the Nominating Committee.
6. Oversees all of the operational functions of the organization.
7. Acts as the official spokesperson for the organization in all public and professional settings, or designates another board member to act in his/her place.
8. Shall only vote on issues in the event of a tie.

B. Vice President
1. Shall serve on all Committees as a non-voting member, as assigned by the President.
2. Shall preside at all meetings in the absence of the President
3. Other duties as assigned by President or Board.

C. Secretary
1. Shall keep minutes of all meetings.
2. Shall conduct all correspondence as directed by the Board of Directors and the President.
3. Shall maintain a file of all correspondence and records of BOB.
4. Shall be responsible for the corporate seal of BOB.
5. Shall notify Board members of meetings one week in advance of such meetings
6. Shall be responsible for notifying the general membership of any change of regular meeting date.
7. Shall record attendance at Board meetings.
8. Shall notify the Board of the third unexcused absence, as defined by article 5C, from a Board meeting of a Board member on the occasion of that absence.
9. Shall keep a permanent and separate record of all additions and / or changes to the Bylaws and Standing Rules
10. Other duties as assigned by President or Board.

D. Treasurer
1. Shall maintain all financial records and funds of BOB.
2. Shall issue and sign all approved checks in conjunction with the President.
3. Shall give a financial report at all Board and membership meetings.
4. Shall make financial records available to the general membership.
5. Shall prepare all financial records at the end of the fiscal year.
6. Shall accept all monies from and issue receipts to authorized production personnel.
7. Shall pay only those bills which are duly authorized by the Board of Directors.
8. Shall only reimburse production staff for show related expenses when receipts are submitted for authorized purchases.
9. May not serve as box office chairman.
10.Other duties as assigned by the President or the Board.
